**Kimba Digital Gamification Insider Membership Terms and Conditions**

These terms and conditions ("Terms") govern your use of the membership services offered by Kimba Digital ("Company," "we," "our," or "us"). By purchasing and using any of our membership levels, you agree to abide by these Terms. Please read these Terms carefully before making a purchase. If you do not agree with these Terms, you should not purchase or use our membership services.

**1. Membership Levels and Benefits**

a. **Discovery Level - Take a Peek**
- Monthly receipt of "The Inside Scoop," a deep-dive into an organization or service's use of Gamification in their business.
- Insights into gamification tools and techniques employed by prominent brands.

b. **Codebreaker Level**
- All benefits of the Discovery level.
- Access to the Facebook community for discussions and networking.
- Participation in the Codebreaker club, a virtual meetup to discuss and learn from the monthly Inside Scoop.
- Involvement in questions and tasks to understand gamification tools.
- Discounts on select Company products and services.

c. **Inspector Level**
- All benefits of the Discovery and Codebreaker levels.
- Monthly gamified social media template for business use.
- Industry-specific "explainers" for each month's template.
- Invitation to coworking sessions and quarterly hot seat calls.
- Participation in quarterly Content Creation Game sessions for content ideas.
- Implementation support and accountability.

d. **VIP Level**
- All benefits of the previous levels.
- Inclusion of Gamification Insider meetup tickets (twice a year) and VIP-only events.
- Exclusive 1:1 time with Kimba to discuss gamification projects and ideas.
- Advanced mastermind opportunities.

**2. Payment and Billing**

a. All membership levels are billed on a monthly (or annual) basis, and fees are inclusive of VAT.

b. Payment is collected automatically using the payment method provided during the sign-up process.

**3. Refunds and Cancellations**

a. Refunds are not available for any membership level, including instances of force majeure.

b. You may cancel your membership at any time, and the cancellation will take effect at the end of the current billing period.

C. Any person or their representative acting in a disrespectful manner to anyone within the membership, or any staff at events will have their membership revoked immediately.

Activities which could lead to your membership being revoked are

1) Cancellation of membership fee or missed payments.
2) Disrespectful behaviour to myself, my team or other members.
3) Disrespectful behaviour to any staff at any venues we attend.
4) Spamming any of my members through email or direct message.
5) Posting inappropriate content online.
6) Constantly posting promotions into the group.

**4. Contents, Events and Changes**

a. Events included in the membership may be subject to circumstances beyond our control. While we will endeavor to re-arrange, it's possible that they may be canceled.

b.The Content will be provided on a rolling monthly basis and shall be delivered through a private Facebook group. You can also access the monthly content directly from the site at any time you like during the term of your membership. Content may be time-limited. If you don’t access this content within that time, we won’t be held responsible for any loss of membership material.

c.We will endeavour to ensure that all information that we provide is accurate and up-to-date but we shall not be liable for any claims arising from such information being inaccurate or not up-to-date or otherwise.

D. You may not at any time copy, reproduce, publish in any form, share, sell, dispose of or otherwise make available to a third party in any way any of the Materials.

E. You may not without our prior written consent make any audio or visual recordings of any part of our Materials.

**5. 1:1 Call Cancellation Policy (VIP Tier)**

a. VIP members are entitled to exclusive 1:1 time with Kimba for discussing gamification projects and ideas.

b. If you need to reschedule a 1:1 call, a minimum of 48 hours' notice is required. If notice is provided later than 48 hours, we may not be able to accommodate a change in the date and time.

**6. Usage and Access**

a. Membership benefits are intended for personal and business use only and may not be shared or resold.

b. Access to membership benefits is granted solely to the named member and is non-transferable.

C. We may from time to time record any or all or any part of the Materials being delivered during your attendance. You authorise us to use your image and voice in any such recordings (and to make use of such recording in any way we think fit) without payment, other condition or need for further consent.

d.. You acknowledge that certain information contained in the Materials is already in the public domain.

E. The online materials of the Membership are held on secure servers and we have taken all reasonable steps to ensure that the online content will be available at all times during the course of the Programme but in the event that such content is not available in whole or in part at any time, or becomes corrupted, is deleted or is failed to be stored, we shall have no liability in any circumstances

f. You agree to keep user details and your password for the site confidential at all times and to not disclose them to any third party. You must notify us immediately if you become aware of any unauthorised use of your account and you shall indemnify us against all claims, damages, losses, costs or expenses (including professional fees) and any other liability that arises from any unauthorized use of your account.


**7. Modifications to Membership Levels and Terms**

a. Kimba Digital reserves the right to modify, suspend, or terminate membership levels, benefits, and these Terms at any time.

b. Changes to membership fees will be communicated to members with a notice period.

**8. Privacy**

a. By using our membership services, you agree to our Privacy Policy, which governs the collection, use, and disclosure of personal information.

B. You acknowledge that your personal data will be processed by and on behalf of us, for Gamification and service purposes. We will process your personal data in accordance with our Privacy Policy that can be viewed at kimbadigital.com/privacy-policy.

**9. Limitation of Liability**

a. Kimba Digital shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of its membership services.

B. We shall not be liable for any loss of profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods, loss of contract, loss of corruption of data or information or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses suffered or incurred by the you as a result of you entering into the Contract and/or us providing the Membership.

**10. Governing Law**

a. These Terms are governed by the laws of United Kingdom, without regard to its conflict of law principles.

By applying for Membership you warrant that:
12.a.1. You are legally capable of entering into binding contracts; and
12.a.2. You are at least 18 years old; and
12.a.3. That all information you provide us with is materially true and accurate at all times and not misleading in any way.

MISUNDERSTANDINGS
Everyone has space to grow, myself included. If I do or say anything that upsets you please do let me know. I want this to be an open and safe place for you to come with confidence.
GUARANTEES
You recognise that I will always have your best interests at heart and that with hard work and an open mind you can make strides towards your goals. However, as with anything in life, there are no guarantees and your success is dependent upon your actions and implementation of trainings delivered as well as effort outside of the club so no guarantees are being made.
CONFIDENTIALITY
You recognise that in the course of our work together you may divulge goals, future plans, business affairs, personal and private information. I will not at any time, either directly or indirectly, voluntarily use any such information for my own benefit or disclose it to a third party.
All materials are for your use only – if found to be in breach of this requirement by misuse of the content, legal remedy will be taken.
By purchasing and using Gamification Insider membership services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
